HLC Alliance Reseller Terms & Conditions

 

By applying to become a HLC Alliance Reseller ("Reseller") you are entering into this Reseller Agreement (“Agreement”) between yourselves and Vooma Corp doing business as HealthyLifeCycle a Ontario registered corporation (“VOOMA”). 

VOOMA will provide Reseller with the opportunity to sell VOOMA’s line of trademarked “Yogavni” products yoga props, mats, accessories and apparel (“Products”) solely to retail end users from Reseller’s place of business.

Reseller will provide a certificate of tax exemption to obtain Reseller pricing. A suitable exemption certificate is required for each jurisdiction to which VOOMA product is shipped.

Ordering & Fulfilment

Minimum first order subtotal value must be greater than or equal to $600 before tax. Subsequent reorder subtotals must be greater than or equal to $400 before tax. Annual order subtotal summation must be greater than or equal to $2,000 for account to remain in an active status.

Payment for Reseller orders will be required at time of purchase unless preapproved terms have been established.

VOOMA will ship all orders within two business days of receipt of payment for all available Products unless other arrangements are made.

VOOMA will fulfill received orders of available Products requested via email, telephone, or VOOMA’s website.

Changes and or Cancellations of Reseller orders will be done in accordance with VOOMA’s Changes or Cancellation Policy

Shipping & Delivery

VOOMA will ship all orders in accordance with VOOMA’s Shipping & Delivery Policy. 

Reseller is responsible for all shipping charges including charges associated with multiple shipments as needed.

Returns & Refunds.

VOOMA will only accept returns on Reseller orders as per VOOMA’s Return & Refund Policy unless Products are defective.

Reseller will handle ALL exchanges and returns directly with their customers as per Resellers return & refund policies.

Geographic Distribution Limitations

Reseller will not ship or sell Products outside of Canada or the United States of America, without express written consent from VOOMA.

Reseller will make all sales of Products to retail end users and will not re-sell Products to other resellers, dealers, or distributors in a “Resale or Wholesaler” manner. Reseller will not re-sell Products to liquidators or to other parties in a “liquidation” manner.

Reseller may only sell Products on ecommerce domains owned solely by the Reseller.


Brand Standards

Reseller must abide by VOOMA’s Online Brand Standards as communicated to Reseller from time to time.

MAP Policy

The Minimum Advertised Price for any VOOMA product shall be no less than the current Manufacturer's Suggested Retail Price (MSRP) as published on the VOOMA price list; to view the current price list, please visit www.healthylifecycle.com. This Minimum Advertised Price is established by VOOMA and may be adjusted by VOOMA at such time and in such amounts as it may determine at its sole discretion.

You shall not list VOOMA products on any third-party website, such as Amazon, ebay, Overstock, etc. or any others, without prior written consent from VOOMA. Selling VOOMA products on your own website associated directly with your store(s) is permissible so long as this MAP policy is adhered to.

This MAP policy applies to all advertisements of VOOMA products in any and all media, including, but not limited to flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, mail order catalogs, email newsletters, email solicitations, internet or other electronic media, television, radio, and public signage. This MAP policy is not applicable to any in-store advertising that is displayed only in the store and not distributed to any customers.

The inclusion in advertising of free or discounted products, with a product covered by this MAP policy, would be contrary to the MAP policy if it has the effect of discounting the advertised price of the covered product below the Minimum Advertised Price.

If pricing is displayed anywhere other than a brick-and-mortar-retail store, any strike-through or other alteration of the Minimum Advertised Price is prohibited.

All resellers may offer VOOMA products at any price in excess of the Minimum Advertised Price.

The MAP policy does not, in any way, limit the ability of any reseller to advertise that "they have the lowest prices" or, they "will meet or beat any competitors’ price," that consumers should "call for a price" or phrases of similar meaning as long as the price advertised or listed for the product is not less than the Minimum Advertised Price.

VOOMA maintains the right to run a temporary sale at its discretion, and in such case, the Minimum Advertised Price will be the same as the temporary sale price on those particular items for that particular time period.

If a reseller with multiple store locations violates this MAP policy at any one store location, or on any associated website, then VOOMA will consider this to be a violation of this MAP policy by the reseller.

VOOMA reserves the right to cancel any pending orders, restrict future orders, or suspend a reseller's account if VOOMA reasonably believes: (i) a reseller has violated the provisions of the MAP policy; or (ii) a reseller intends to violate the MAP policy.

Waivers to the MAP policy may be granted in VOOMA's sole discretion by VOOMA in a written waiver. VOOMA's sales and marketing personnel, or any other personnel, are not authorized to modify or grant exceptions to the MAP policy. In the event that the MAP Policy Administrator authorizes a waiver to the MAP policy, resellers must strictly adhere to the terms of the written waiver. Deviation from the terms of the written waiver is a violation of the MAP policy.

The MAP policy will be enforced by VOOMA in its sole discretion and without notice. Resellers have no right to enforce the MAP policy. Violations of the MAP policy may result in any of the aforementioned sanctions up to and including termination of our business relationship, as well as any available remedies at law.

Inactivity

VOOMA, in its sole discretion, reserves the right to designate an account as inactive after 12 months of no activity. Accounts can be reactivated upon request by Reseller. The prevailing Terms and Conditions in force at time of reactivation will apply.

Termination

VOOMA, in its sole discretion, reserves the right to discontinue doing business with any reseller not fully abiding by this Agreement. Agreement subject to change with 30-day notice.
